Minimum Advertised Pricing Policy (“MAP”)

ADVANTEK Pet, Inc. (“API”) actively supports the advertising and promotion of its products
by its dealer stores, online retailers and various sales representatives.
ADVANTEK enforces a Minimum Advertised Price (“MAP”) policy on certain products to protect the strong reputation of its brand and to ensure customers are provided with high quality products. ADVANTEK’s MAP
Policy is as follows:
1) The MAP for any ADVANTEK product shall not be less than the MSRP prices as listed on the ADVANTEK price list. This pricing is established by ADVANTEK and may be adjusted by ADVANTEK at its sole discretion.
2) The MSRP applies only to advertised prices and does not apply to the price at which the products are actually sold. ADVANTEK’s dealers are allowed to sell for any price they choose within their retail location or over the phone.
3) This policy is not applicable to any in‐store advertising that is displayed only in the store and not distributed to any customer(s).
4) This policy applies to all ADVANTEK products in the most current price lists and shall apply to all media, including, but not limited to, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, email newsletters, email solicita‐ tions, internet or similar electronic media, television, radio, and public signage.
5) Reseller agrees to hold all trademarks of ADVANTEK as the property of ADVANTEK and use advertising materials provided by ADVANTEK in an authorized manner only.
6) From time to time, ADVANTEK may permit Retailers to advertise one or more Products coverers by this MAP at prices lower than the Minimum Advertised Price for a specified period. In such case, ADVANTEK will notify its resellers in advance of the details of the lim‐ ited suspension or modification of this MAP policy.
7) Intentional or repeated failure to abide by this policy will result in termination of distrib‐ utorship. It is ADVANTEK’s sole discretion whether or not to provide prior notice or issue warnings before taking any action under this policy. API’s MAP policy is designed to en‐ hance the image of API and its products.
